A succession structure built over more than twenty years and two leadership transitions let a founder step back while keeping the business whole.

01 · Industry & Situation
A manufacturing founder wanted to exit the business on his own terms. He was not looking to sell the company to a buyer; he wanted the business to continue under leadership and ownership he had chosen.
02 · The Problem
Owner-operated manufacturing companies are built around a founder: customers, employees and lenders all rely on the person at the top. A voluntary exit, without a sale, requires a structure that replaces that reliance gradually rather than at a moment of crisis.
Leadership, ownership and governance all had to be transferred, in that order, without breaking the business.
03 · What Pagac Did
Pagac worked with the founder to build a succession structure developed over more than twenty years, one that carried the company through two leadership transitions.
The structure treated succession as a long program: developing successive leadership, transferring ownership deliberately and keeping the founder's goals, including his preference not to sell, at the center of every stage.
04 · The Structure
The plan ultimately pointed the company toward employee ownership, giving the people who had carried the business through each transition a durable stake in its future.
Founder control was unwound gradually, on the founder's timeline, so each step was taken when the business was ready rather than when an outside event demanded it.
05 · Where It Stands
The founder exited on his own terms, without selling the business.
The engagement demonstrates the long horizon of serious succession planning: more than twenty years, two leadership transitions, and a company that continues under ownership built from within.
